M&A

Gamma Law has an active M&A practice, representing emerging and middle-market companies in M&A transactions across a range of industries. We advise on transactions valued from hundreds of thousands of dollars to over $100 million, providing practical guidance on transaction structuring, negotiation, and execution. Our work includes deals involving multi-jurisdictional corporate structures, earnouts and escrow arrangements, deferred purchase-price payments, key-employee retention arrangements, and complex due diligence across multiple state and national legal regimes. We frequently assist companies based outside the United States in entering the US market through acquisitions of US businesses or assets, helping them navigate both legal and commercial considerations associated with cross-border transactions.

Gamma Law has particular experience with cross-border mid-market M&A, advising both buyers and sellers in transactions involving international counterparties and global operations. Our recent work includes representing a client in the semiconductor industry in a $120 million sell-side transaction, coordinating legal and diligence issues across multiple jurisdictions while helping the client achieve a successful strategic exit.
